Wondering how the investment works? Confused about some of the terms used on the invesdor page?
The investment process is simple. Go to the bilihome Invesdor page and hit “Invest Now”. Follow the steps to create an account, upload a valid ID and confirm your investment details, after which you complete the payment process, f.e. via Ideal. After this you are an official investor in bilihome! You can track your investment and stay updated on bilihome’s progress through your Invesdor dashboard. The minimum ticket requirement is €250, which are 108 shares of bilihome. With a 5-fold potential multiple, the shares could gain in value as follows: EUR 250 x 5 equals €1250 over a 4 to 5 year timeline. As indication: the average investment on the Invesdor crowdfunding platform is €2000. Note, next to the gain there is also a risk of losing the investment.
There are a few ways you might see a return on your investment (ROI):
Acquisition: If a larger company buys bilihome, you could get a payout. This is the most common way with MedTech start-ups.
Strategic Partnership: Strategic investments are made by larger companies or investors who see potential synergy with their own business. These investments often come with additional support, such as access to networks, expertise, and resources, which can help bilihome to grow and still have the decision power. In this case, there you could get a payout or get dividend. Dividend is a sum of money paid regularly (typically annually) by a company to its shareholders out of its profits.
Secondary Sales: You might be able to sell your shares to other investors of Bilihome STAK.
Dividends: Bilihome can share profits with investors once making money. Companies typically start paying dividends when they are cash positive. According to current financial forecast, this will happen in 2028. This would mean bilihome has enough cash flow to cover their operating expenses and still have profits left over.
The timeline can vary:
Short-term (1-3 years): This is possible but less common, if bilihome grows quickly and gets acquired early.
Medium-term (3-5 years): This is more realistic, as bilihome needs time to grow, expand internationally and stay competitive with enhancements of the proposition.

Giving the investment as a gift to someone is possible in some cases, and can be done via the bilihome STAK. The bilihome STAK (Stichting Administratiekantoor) is a Dutch foundation holding shares and issuing depositary receipts (DR) to investors. This structure allows trading by providing a way to separate ownership and control. STAKs can facilitate the transfer of shares or options to relatives, making it easier to gift shares.
Please be aware, it is not possible to give an investment to somebody else when making the initial investment. The investment is registered in the investor’s name and can only be made by the person who has registered on the Invesdor platform and successfully completed the verification process (AML-regulated). This includes ID and bank account verification.
After the Depository Receipts (DRs) have been issued, they become transferable. This means that an investor can ask the Stichting Administratiekantoor (STAK, they manage the DRs) to transfer their shares to somebody else. The DRs are then freely transferable to:
(i) spouses/registered partners;
(ii) first and second-degree relatives (blood or by marriage);
(iii) a legal entity whose interest is directly or indirectly entirely held by the Depositary Receipt Holder and/or one or more persons referred to under (i) and (ii);
(iv) the Depositary Receipt Holder in private;
(v) another Depositary Receipt Holder.
If the investor wishes to transfer their DRs to somebody who is not named in the list above, they require approval from the board of the STAK. One of the requirements is a minimum transferable amount with a value of €2000.

Tax Implications: the tax treatment of a STAK can vary, so it's important to consult with a tax advisor to understand the specific implications for gifting shares or options.

A cap table (short for capitalization table) is a record that shows the ownership stakes in a company. It lists all the company's stocks and options, who owns them. Cap tables are crucial for understanding who controls the company and how much each person or entity owns. They are especially important for startups and investors. Cap tables are generally not publicly available, however the bilihome cap table is shared with potential investors. Currently the primary shareholders are Oost NL and Health Innovations. The majority of shareholders participate in this financing round, matching up to 1 million EUR.
The cap table currently has five shareholders, and a bilihome STAK, prepared for the use of crowdfunding. At the end of the fundraising, approx. 20 percent of share volume is related to the co-founders, and 60 percent to the current shareholders. 20 percent is reserved for the investors joining during this investment round.
To place an investment, a 1.5 percent service fee applies for the use of the platform. The fee will be calculated into your payment.
Bilihome is valued at 8 million EUR and offers up to 20 percent of the company equity in this financing round. The valuation reflects strong growth potential and reduced risk, making it a compelling investment opportunity. In the valuation the current status and milestones were taken into consideration, e.g. the ISO 13485, clinical trials, expected CE certifications and traction of future customers.
The campaign will take place on the Invesdor platform and will consist of 2 phases: the hidden phase and the public phase. During the hidden phase, only investors with access to the relevant link can invest. Following that, the public phase will open, which will last for 35 days. During this time, anyone can invest via Invesdor.
